Matt Jeffries intended the original Romulan Bird-of-Prey design to suggest that they stole Earth's technology. The Romulans could have stolen the design. All Spock says in The Enterprise Incident is that Intelligence reports Romulans using Klingon design.

Romulans were never established in lore as having exchanged technology IIRC. How the Klingons gained cloaking technology in Star Trek III was never explained prior to the episode. In fact, invisibility is a logical application of holographic technology especially for a martial culture. It's not a coincidence that a ship with a holodeck would have a clocking device.
